1. Scope and acceptance of these Terms.
These Client Service Terms govern paid consulting, implementation, software subscriptions, integrations, AI services and ongoing services supplied by 8020 Ops when incorporated into an accepted order form, service agreement or statement of work (“SOW”). Browsing our website alone does not purchase a service or create a professional-services engagement. If a signed SOW or later signed change order expressly conflicts with these Terms, the signed document controls for that issue. Existing signed agreements are not amended merely because these Terms are published or updated.
2. Defined services.
Each engagement specifies the scope of services, deliverables, assumptions, milestones, third-party dependencies, customer obligations, exclusions, acceptance criteria, support and commercial terms in an order form, product schedule or SOW. Anything not expressly included is not assumed to be included. Marketing descriptions and demonstrations illustrate capabilities, but the accepted order controls what we agree to deliver.
3. Discovery and dependencies.
Effective implementation depends on accurate information, timely decisions, authorized access, availability of supported tools, client-managed accounts and the behavior of third-party systems. The client is responsible for promptly supplying required resources and permissions and for confirming they have the necessary rights to the information and systems provided to us. Material newly discovered dependencies are reviewed through our change process.
4. Changes and work outside scope
A request to add a workflow, business rule, campaign, integration, middleware, data migration, custom report, platform workaround, revision beyond an included allowance or other new deliverable may require a separately approved change order. Before undertaking additional fee-bearing work, we will identify the proposed scope, fees, schedule and acceptance criteria. We are not obligated to perform unapproved out-of-scope work. We remain responsible for correcting verified failures of our work to meet agreed acceptance criteria as provided in the applicable SOW.
5. Third-party technology
Our services may connect to third-party software and providers, including CRM, AI, telephony, diagnostic, messaging and payment systems. We are responsible for the integrations and configurations explicitly included in the SOW, but do not promise that a third-party provider will maintain its APIs, prices, availability, data quality or functionality. Vendor fees and accounts are the client's responsibility unless expressly included. If an external limitation materially affects delivery, the parties will document the impact and agree whether to use a workaround, revised scope, substitute service or other next step. This clause does not excuse our own implementation errors.
6. Client responsibilities and commercial outcomes
Unless specifically included in the SOW, the client retains responsibility for its sales staff, follow-up, offerings, pricing, business decisions, lawful marketing practices, customer relationships, third-party licenses and adoption of delivered systems. 8020 Ops may provide tools designed to improve response, qualification, reporting or conversion, but does not guarantee specific revenue, customer acquisition, close rates, bookings, profits or other business results. Performance-based compensation applies only when expressly documented in an accepted agreement.
7. Implementation, review and acceptance
Deliverables are tested against the criteria stated in the SOW. We will provide a completion notice, relevant evidence and any agreed instructions or inventory. The client will review within the acceptance period stated in the SOW and either approve or identify specific material deviations. We will address verified in-scope deviations under the agreed remediation process. Client acceptance, independent QA and internal handoff are separate operational checkpoints. No acceptance-by-silence rule applies unless expressly agreed in the signed SOW.
8. Fees, recurring subscriptions and term
Setup fees, subscriptions, usage charges, included months, currency, taxes, payment schedule, billing start, minimum commitment if any, renewals and cancellation notice are those stated on the accepted order. A waived fee or included introductory period does not change the price of later paid months unless the order expressly says so. No minimum subscription term is imposed solely by publication of these website Terms. If an order states a minimum term, it must disclose its length and early-termination arrangements. Unless the order says otherwise, month-to-month services may be discontinued, subject to accrued charges and any agreed transition duties. Any proposed material change to recurring rates or terms will be communicated before it takes effect and handled as the contract and applicable law require.
9. Service scope and support
The order identifies the included support channels, hours, response commitments if any, monitoring and maintenance. General strategy sessions, training sessions, community calls and troubleshooting advice do not include development labor or third-party charges unless expressly stated. Additional requests will be evaluated and quoted before implementation.
10. Ownership and licenses
The client retains ownership of its pre-existing data, brand, business content and other materials it provides. Ownership of specifically commissioned and paid deliverables is as stated in the SOW. We retain our pre-existing and independently developed methods, know-how, tools, generalized templates, reusable frameworks and agency-specific configurations (“8020 Background IP”), unless expressly assigned in writing. Where a deliverable depends on embedded 8020 Background IP, the order will specify the client's permitted license, duration, modification, continuity and post-termination rights so the operational value of the deliverable is clear before purchase. Third-party software remains subject to its own license. For clarity, technical folder restrictions do not override contractual ownership or access rights.
11. Workflow access and changes
We may recommend permission controls, protected production folders and approval procedures to reduce accidental interference with live automations. Any restrictions will be consistent with the client's contractual rights. Unless the signed SOW assigns change management to us, the client is responsible for changes it or its representatives make to the system after acceptance; remedial work resulting from such changes may be separately scoped. We will not knowingly remove agreed access to client-owned data or deliverables merely because a commercial dispute arises.
12. Confidentiality, privacy and lawful use
Each party must safeguard the other's non-public business information and use it for the engagement only as authorized. The client
must have an appropriate legal basis for collecting, transferring, contacting and recording individuals whose data it uses in our services, and must provide legally required notices and obtain necessary consents. We will apply reasonable safeguards to information we process and will document the applicable processor/service-provider roles and practices where required. Our Privacy Policy and AI Policy provide additional disclosures; a separate data-processing agreement may apply to client data.
13. Suspension, expiry and transition
If payment is overdue, there is material misuse, or continued operation presents a security or legal risk, any permitted suspension will follow the written agreement and applicable law, with reasonable notice where practicable. Termination does not erase charges validly incurred before its effective date. At exit, the parties will follow the agreed data export, workflow access, transition, deletion and surviving-license arrangements. Migration or third-party reconfiguration beyond contracted handoff services may require a separately priced project.
14. Warranty, remedies and liability
Specific implementation commitments, warranty periods, remedies and any limitation of liability must be set out in the signed service agreement or SOW and are subject to applicable law. Nothing on this page removes rights or remedies that cannot lawfully be excluded. We do not warrant uninterrupted operation of independent third-party systems.
15. Changes and notices
We may publish updated online Terms from time to time, with a new effective date. Changes to an existing customer's signed commercial commitments require the notice, acceptance or amendment process in that agreement and applicable law. Formal notices should be sent to the email or address stated in the relevant order; general queries may be sent to 1850 Lorne St, Vancouver, BC, V5T 1C9 Canada
16. Governing law and dispute resolution
Governing law, venue and any agreed dispute-resolution process are those stated in the signed engagements. The parties will first attempt to resolve service concerns in good faith through designated representatives.
